SENIOR CORPORATE PARALEGAL

We are legal specialists with a variety of clients, acting for private and public companies, non-profit foundations, investment vehicles, start-ups, entrepreneurs and family offices in corporate and commercial transactions. We provide bespoke legal solutions in local and cross-border transactions.

We are seeking a highly skilled senior paralegal with extensive experience in corporate transactions and corporate secretarial matters to support complex transactions and manage corporate secretarial responsibilities.

Requirements

•       Degree/Diploma in Business Administration, Law, Accounting, or related field

•       Minimum 7 years corporate secretarial/legal experience in Singapore

•       Knowledge of Singapore Companies Act and ACRA/IRAS requirements

•       Proficiency in Microsoft Office and legal research tools

Key Responsibilities

Corporate Transactions

•       Support M&A, fundraising and private equity transactions including due diligence, data room management, investor documentation, and completion activities

•       Prepare transaction documents and coordinate signature processes

Corporate Secretarial Services

•       Independently manage client portfolios for corporate secretarial matters

•       Prepare and file statutory documents per ACRA regulations

•       Coordinate board/shareholder meetings including agendas, resolutions, and minutes

•       Maintain statutory registers and handle share transfers, allotments, incorporations

•       Ensure annual compliance and liaise with ACRA, MOM, IRAS

Administrative

•       Administer corporate records and track compliance operations

•       Undertake additional responsibilities as directed
