Our client is a leading Pan-Asian Private Equity Fund Manager, which is aggressively growing across the region. Managing a multi-billion AUM and led by a group of highly-regarded investment professionals, they are widely recognised as prominent leaders in their field.

As part of their expansion, they are looking for a commercially-savvy legal professional to join their team as a Legal Counsel based in the Singapore office. This is a new hire that reports directly to the SVP/ Head, Compliance and will primarily support the Investments team on legal matters as they conduct investment activities across APAC, in addition to other responsibilities. 

 

Responsibilities

A) Investments (co-investments and secondary direct investments)

i) Work closely with the Investment Team on investments and divestments, particularly co-investments and secondary direct investments, including among others:

  • Review and negotiate NDAs and engagement letters
  • Draft, review and negotiate term sheets/ offer letters/ bid letters
  • Work with external counsels to review and negotiate transaction documents (subscription/share purchase agreements, co-investment agreements, shareholders agreements and other transaction documents)
  • Assist with deal closing and other associated legal administrative matters

ii) Assist the Deal Partner(s) in liaising and managing external counsels in Singapore and other countries (including Hong Kong, China and India)

iii) Compliance checks to ensure that the firm’s co-investments and secondary investments are in compliance with LPAs and side letters

 

B) Fund Formation / Fundraising / Maintenance                         

i) Review fund documents for all funds and project-manage legal aspects of fundraising, including working with external fund counsel and internal teams on legal and side letter requests from LPs 

ii) Provide legal support for existing funds, such as transfer agreements 

iii) Assist with the setting up of entities and SPVs and ongoing maintenance of such entities, including board meetings, corporate actions, regulatory compliance, etc.

 

C) Corporate and Regulatory

Provide legal advice on matters related to private equity industry and investments, including monitoring regulatory changes in relevant jurisdictions and industries and risk-analysis of possible impact to investments and business.

 

Requirements

  • Bachelor's Degree in Law with strong academic credentials.
  • 3-5 years PQE gained in a private law practice (Funds and/or Corporate M&A) or an in-house role within a Private Equity/ Venture Capital/ Asset Management firm.
  • Prior exposure and strong understanding of the workings of the Private Equity sector would be highly advantageous
  • Superior communication skills with the ability to clearly and diplomatically articulate issues, solutions and rationale.
  • Detail-oriented, analytical and inquisitive with the ability to exercise sound judgement when identifying and escalating issues
